Terms of Service

1. Acceptance and changes

By completing registration or otherwise using the services, you accept these Terms and the Platform's rules, including the Privacy Policy and Recharge Agreement, which form integral parts of these Terms.

We may revise these Terms to reflect changes in laws and regulations or operational needs, and will give advance notice through Platform announcements or similar means. If you disagree with a revision, you should stop using the services. Continued use constitutes acceptance of the revised Terms.

2. Services

The Platform provides a model API aggregation gateway and computing capacity, bringing together major Chinese large language models and supporting interface protocols such as OpenAI and Anthropic for developers and enterprises.

The services rely on third-party large models and our own computing capacity, and are provided on an "as is" and "as available" basis to the extent technically possible.

3. Registration and identity verification

You should register using true, accurate and complete information, such as a phone number or email address, and cooperate with necessary identity verification under applicable national internet real-name requirements.

Your account may be used only by you or authorized members of your organization. You must safeguard your account and password and bear losses caused by your failure to do so. Notify us immediately if you discover unauthorized use.

4. User conduct

You undertake to use the services lawfully and compliantly, and must not use the Platform to violate laws or regulations, public order or good morals, or others' lawful rights and interests. Prohibited conduct includes:

• Generating or distributing content prohibited by laws or regulations, including content endangering national security, undermining ethnic unity, promoting terrorism or extremism, obscenity or pornography, violence, or false and harmful information;
• Infringing intellectual property, trade secrets, privacy, reputation, portrait rights or other lawful rights and interests;
• Fraud, malicious marketing, bulk registration, circumventing or disrupting rate limits or security mechanisms, and other abuse;
• Reselling or sublicensing the services without authorization, or using them beyond the scope of authorization.

5. Generated content and intellectual property

The services use generative artificial intelligence. Generated content may be inaccurate, incomplete or inappropriate, does not represent our views, and is not legal, medical, financial, investment or other professional advice. You should independently assess and verify generated content and bear the risks arising from reliance on it.

You are responsible for the lawfulness of your inputs and your use of generated content, including distribution and commercial use. Your inputs or use must not infringe intellectual property, trade secrets, personal information rights or other lawful rights and interests.

To the extent permitted by law and without infringing third-party rights, rights you lawfully hold in generated content belong to you. Given the nature of generative AI, we do not guarantee originality, eligibility for intellectual property protection, or that identical or similar content will not be generated for others.

You grant us a non-exclusive, worldwide, royalty-free license limited to what is necessary to provide, maintain, secure and improve the services, allowing us to process your inputs and generated content to the necessary extent. This license does not include using content that identifies you or contains your trade secrets or personal information for model training.

Your inputs, generated content and their use may also be subject to the relevant upstream model provider's rules. We will conspicuously explain any differences between these Terms and upstream rules.

6. Special provisions on generative AI

Under the Interim Measures for the Management of Generative Artificial Intelligence Services and other applicable provisions, we provide the following explanations:

• The Platform will conspicuously display legally required information on generative AI service names, providers, filings and registrations on service or filing disclosure pages. Details are subject to information published by the national cyberspace authorities and materials provided by relevant service providers and verified by the Platform. No specific filing number will be stated where verification is incomplete or disclosure is not legally required. Disclosures will be updated when model services are added, removed or changed;
• The Platform will label relevant generated content as required by applicable rules;
• The Platform primarily serves developers with full civil capacity, enterprises and other organizations, and does not primarily target minors. Minors should use it with their guardian's guidance and consent. Children under 14 must not register or use the services independently. Where use is necessary, a guardian must register on their behalf and give specific consent as required by law. We will use age notices, risk notices, abnormal-use detection and necessary functional restrictions to prevent excessive dependence or addiction among minors;
• Please understand generative AI scientifically and rationally and use it lawfully.

7. Billing, recharge and payment

The Platform uses prepaid billing: recharge first, then pay based on actual usage. The Recharge Agreement governs recharges and balances.

Prices are those displayed on the Platform. Price changes will be announced in advance and will not affect consumption that occurred before the change.

8. Changes, suspension and termination

We may adjust, suspend or terminate services for legal or regulatory requirements, maintenance, security or similar reasons, and will make reasonable efforts to notify you in advance.

If you breach these Terms or applicable laws or regulations, we may, depending on the circumstances, issue warnings, restrict features, suspend or terminate services, or ban your account.

9. Disclaimers and limitations of liability

We are not liable for service interruptions or data anomalies caused by force majeure or by third-party model services, payment channels, networks, cloud services or other causes not attributable to our fault, but will make reasonable efforts to assist.

Unless mandatory law provides otherwise, we are liable only for reasonably provable actual losses directly caused by our breach or fault, and not for indirect losses, lost profits, loss of goodwill, business interruption or data loss.

To the extent permitted by law, our aggregate liability for one event or a series of events with a common cause is limited to the service fees you actually paid for the affected services during the 12 months preceding the event.

These limitations do not apply to personal injury caused by our intent or gross negligence, infringement of personal information rights, or other circumstances in which liability may not lawfully be limited or excluded. They do not affect consumers' statutory rights to refunds, compensation or other remedies.

10. Governing law and dispute resolution

The formation, performance, interpretation and dispute resolution of these Terms are governed by the laws of mainland China.

Disputes should first be resolved through amicable consultation. If consultation fails, either party may bring proceedings before the competent people's court at our domicile. Mandatory jurisdiction rules for consumer disputes, internet service contracts or other disputes prevail where applicable.

11. Other provisions

If a provision is held invalid, the remaining provisions remain effective.
